Terms of Service
These Terms of Service (“Terms”) govern your access to and use of Robotyx and related applications and sites (the “Service”), operated by Tryfecta Robotyx (“Robotyx”, “we”, “us”). By accessing or using the Service, or by signing in with a Google or Microsoft account, you agree to these Terms. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
1. The Service
Robotyx is a multi-tenant software platform for health, safety, environment (HSE) and operations management, including modules such as HSE registers, roster and workforce, journey management and document control. Features available to you depend on your organisation’s plan and configuration.
2. Accounts and eligibility
- Access is invite-only and intended for business use by named users within a subscribing organisation.
- You are responsible for maintaining the confidentiality of your sign-in and for all activity under your account.
- Your organisation’s administrators may create, configure, suspend or remove user accounts within their tenant.
- You must provide accurate information and promptly notify us of any unauthorised use of your account.
3. Acceptable use
You agree not to:
- Use the Service in violation of any applicable law or regulation;
- Access, or attempt to access, data belonging to another organisation or user without authorisation;
- Interfere with, disrupt, or place undue load on the Service or its infrastructure;
- Reverse engineer or attempt to extract source code, except to the extent permitted by law;
- Upload malicious code or content that is unlawful, infringing or harmful;
- Resell, sublicense or provide the Service to third parties except as expressly permitted by your agreement with us.
4. Your data and ownership
As between you and us, your organisation owns the operational records and content it submits to the Service (“Customer Data”). You grant us a limited licence to host, process and transmit Customer Data solely to provide, secure and support the Service. We own all rights in the Service itself, including its software, design and documentation. Our handling of personal information is described in our Privacy Policy.
5. AI features
AI-assisted features are advisory tools that help draft, triage and summarise content you submit. Outputs may be inaccurate or incomplete, are not a substitute for professional, legal, engineering or safety judgement, and must be reviewed by a competent person before you rely on them. Nothing generated by the Service is written to your records without your confirmation.
6. Third-party services
The Service relies on third-party providers (including identity providers for Google and Microsoft sign-in, and hosting, email and AI subprocessors listed in our Privacy Policy). Your use of those sign-in services is also subject to the respective provider’s terms. We are not responsible for third-party services outside our control.
7. Availability and changes
We aim to keep the Service available and reliable, but except as stated in a separate written agreement, the Service is provided on an “as available” basis without an uptime guarantee. We may add, change or remove features, and may perform maintenance, from time to time.
8. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, and we disclaim all warranties not expressly stated, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. Nothing in these Terms excludes any consumer guarantee or right that cannot lawfully be excluded.
9. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special or consequential loss, or loss of profits, revenue or data. Our total aggregate liability arising out of or in connection with the Service is limited to the fees paid for the Service in the twelve months before the event giving rise to the liability, or, where no fees are payable, USD $100. This clause does not limit liability that cannot be limited by law.
10. Suspension and termination
We may suspend or terminate access if you breach these Terms, if required to protect the Service or other users, or as set out in your organisation’s agreement. Your organisation may stop using the Service at any time. Provisions that by their nature should survive termination — including ownership, disclaimers and liability limits — will survive.
11. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, and you submit to the courts located there, except where mandatory local law provides otherwise.
12. Changes to these Terms
We may update these Terms from time to time. We will update the “Last updated” date above and, where changes are material, notify your organisation’s administrators. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
